CONTRACT
BETWEEN
Trans-Link Services Inc, 3602 building A11 YiYangShanShui Mansion, Haidian District Beijing10095, PRC
hereinafter referred to as
"the Certified Trans-Link Services Inc", of the first part
AND
(name and address of Client),
hereinafter referred to as
"the Client", of the second part.
This contract binds both of the aforementioned parties in relation to the provision of the services described below under the terms and conditions set forth in the following paragraphs.
Required services
Translation
The Certified Trans-Link Services Inc. undertakes to translate from language to language the document entitled file name, which is composed of approximately ____ words .
Rate
The required services shall be provided at the rate of
US$_______ per CHN word exclusive 6%tax
Other services
The Trans-Link Services Inc. undertakes to provide the following additional services:

Documentation
The necessary documentation for the work, such as previous versions of the same document, glossaries, lexicons, etc., shall be provided by the Client.
Copyright
The Client warrants to the Certified Trans-Link Services Inc. that the Client has full right, power and authority to have the aforementioned work translated, and that the translation thereof by the Certified Trans-Link Services Inc. will not result in the infringement of any existing copyright. The Client agrees to indemnify and save harmless the Certified Trans-Link Services Inc. against any claim, action, loss or damage incurred by the Certified Trans-Link Services Inc as a result of any breach of this warranty.
It is understood that translations are protected works under the Copyright Act and may not be reproduced or otherwise used in breach of the Trans-Link Services Inc.'s copyright. The Certified Trans-Link Services Inc. hereby assigns his/her copyright in the work contemplated herein to the Client, but such assignment is conditional upon the Certified Trans-Link Services Inc having received full payment for services rendered in accordance with the terms of this agreement.
Author's corrections
The Certified Trans-Link Services Inc undertakes to make the corrections desired by the Client at the rate of US$_____ per hour.
Any recasting of the text to be translated or any revision by the author once the work of translation has begun shall be counted as additional text and invoiced at the rate of US$_______ per hour.
Cancellation of the work
If the request for translation is cancelled while the contract is being performed, the Certified Trans-Link Services Inc shall be compensated in proportion to the work performed (according to the selected mode: by the word or the hour or for a lump sum).
Liability of the Trans-Link Services Inc
The liability of the Certified Trans-Link Services Inc is limited to the total value of the contract. Furthermore, the Certified Trans-Link Services Inc shall not be liable for alterations made to his/her work by other persons.
Arbitration
Any dispute between the Certified Trans-Link Services Inc and the Client concerning the quality of the work may be submitted to the Evaluation and Arbitration Committee of the Association of Trans-Link Services Incs and Interpreters of Ontario for an objective professional evaluation. Both parties undertake to abide by the decision of this Committee. If the work is considered unsatisfactory, the liability of the Certified Trans-Link Services Inc shall not exceed the amount of the fees requested for the work.
Delivery
The Certified Trans-Link Services Inc undertakes to deliver to the Client by Email, no later than (date and time), copy(ies) of the finished work OR undertakes to deliver to the Client the finished work by fax.
Invoicing
The following additional costs shall be invoiced to the Client:

Payment shall be made within (3) days of the date of the invoice. Interest charges (simple or compound) of ___5___% per month shall be imposed on late payments.
The parties agree to the preceding and duly sign this contract. The Client is requested to return a signed copy of this contract at the earliest possible opportunity so that the Certified Trans-Link Services Inc may begin the work as requested.
